Welcome to Toner Fusion Inc., operating through its division Takeout Depot ("we," "our," or "us"). By accessing our website, placing an order, or utilizing our custom printing services for pizza boxes, paper bags, and food packaging, you agree to comply with and be bound by the following terms and conditions. Please read them carefully before submitting an order.

1. Acceptance of Terms

By accessing our website and purchasing our products, you confirm that you accept these Terms and Conditions and that you have the legal authority to bind your business or entity to this agreement. If you do not agree with any part of these terms, you must not use our website or services.

2. Custom Printing & Artwork Submissions

Artwork Ownership & Responsibility: You retain all rights to the logos, trademarks, and artwork you upload or provide for custom printing. By submitting artwork to us, you warrant that you own or have explicit authorization to use all intellectual property, logos, and text included in the design.
Indemnification: You agree to indemnify and hold Toner Fusion Inc. harmless against any claims, legal actions, or expenses (including legal fees) arising from any copyright or trademark infringement violations related to the artwork you provide.
Color Accuracy & Proofing: We utilize advanced digital printing capabilities to match your brand colors as closely as possible. However, due to variances in monitor displays, stock absorbency, and printing processes, exact color matching cannot be strictly guaranteed. We recommend reviewing digital proofs carefully before final production approval.

3. Orders, Pricing, and Payment

Wholesale & Minimums: As a B2B supplier serving the Greater Toronto Area and beyond, certain products carry minimum order quantities (MOQs) for custom printing runs.
Pricing Changes: All prices are listed in Canadian Dollars (CAD) unless otherwise stated and are subject to change without notice. We reserve the right to correct any pricing errors on our website or quotations.
Payment Terms: Full payment or an approved deposit is required prior to the commencement of any custom print production, unless prior commercial credit terms have been established in writing with our management team.

4. Shipping, Delivery, and Local Fulfillment

Turnaround Times: Production and delivery timelines provided are estimates. While we strive to meet rapid turnaround schedules for our local GTA clients and regional partners, unforeseen production or logistics delays may occur.
Risk of Loss: All products are shipped FOB our Scarborough facility (491 Brimley Rd, Unit #9). Risk of loss and title for products pass to you upon delivery of the goods to the carrier.
Inspection of Goods: You must inspect all shipments immediately upon receipt. Any claims regarding damaged boxes, incorrect print runs, or short shipments must be reported to our customer service team within 5 business days of delivery.

5. Returns, Refunds, and Cancellations

Custom Printed Goods: Because custom-printed pizza boxes and paper bags are manufactured specifically to your brand specifications, all sales of custom-printed items are final. We do not accept returns or offer refunds on custom orders unless the product is proven to have a manufacturing defect or a severe printing error directly caused by our production team.
Order Cancellations: Orders can only be cancelled before production has begun. If artwork has already been approved and printing plates or digital production runs have started, the order cannot be cancelled, and you will be responsible for all incurred costs.

6. Limitation of Liability

Toner Fusion Inc. and Takeout Depot shall not be liable for any indirect, incidental, special, or consequential damages—including loss of profits, business interruption, or loss of goodwill—arising out of or in connection with the use of our packaging products or printing services. Our total liability to you for any claim arising from an order shall not exceed the total amount paid by you for that specific order.

7. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Return and Refund Policy

At Toner Fusion Inc. and our takeout packaging division, Takeout Depot, we strive to deliver the highest quality custom-printed pizza boxes, paper bags, and food packaging for our B2B partners. Because our products are manufactured to commercial and custom specifications, please review our return and refund guidelines below.

1. Custom-Printed Products (Final Sale)

Custom Orders: All sales of custom-printed pizza boxes, paper bags, and branded packaging are final. Because these items feature your unique logos, artwork, and brand specifications, they cannot be restocked or resold.
Design Approval: Prior to production, digital proofs or mock-ups are provided for your review. It is the client's responsibility to verify spelling, layout, sizing, and color choices before giving final approval to print. We are not responsible for errors found after the final proof has been approved.

2. Exceptions and Manufacturing Defects

We stand behind our production quality. If you receive an order that arrives with a verified manufacturing defect, structural failure, or a significant printing error directly caused by our production team, we will make it right.

Reporting Window: Any claims regarding defective items, print errors, or order discrepancies must be reported to our support team within 5 business days of receiving your shipment.
Resolution: Upon inspection and verification of the defect, we will work with you to provide a replacement run, store credit, or a targeted refund for the affected portion of the order. Photographic evidence and physical sample return may be required.

3. Non-Custom / Stock Inventory Items

Unprinted Stock: If you purchased standard, unprinted stock items (such as generic blank pizza boxes or plain paper bags), returns may be considered on a case-by-case basis.
Conditions: Items must be unopened, in their original packaging, unused, and in resalable condition. Return requests for stock items must be initiated within 14 days of delivery.
Restocking Fees: Approved returns on stock items may be subject to a restocking fee, and the client is responsible for all return shipping costs. Original shipping charges are non-refundable.

4. Order Cancellations

Orders for custom-printed packaging can only be cancelled if production has not yet commenced.
If your digital proofs have been approved and your order has entered the printing or plate-making queue, the order cannot be cancelled, and you will remain responsible for the full cost of production.
